LifeSpot.AI Terms of Service

Welcome to LifeSpot.AI (the "Platform"), provided by Xpirix Inc. in the United States ("LifeSpot.AI," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Platform and our related websites, services, applications (including the LIV chatbot, powered by Xpirix), products, and content (collectively, the "Services").

The Services are designed for private, non-commercial use to help you manage, share, and secure estate planning documents, photos, and memories, invite trusted members to collaborate, and engage with our community features, such as LifeSpot Pulse.

These Terms form a legally binding agreement between you and us. Please read them carefully. If you are under 18, you may only use the Services with the consent of your parent or legal guardian, who must review and discuss these Terms with you.

Our Services are subject to our Privacy Policy and Community Guidelines, available on the Platform or your mobile device's app store, which are incorporated by reference. By using the Services, you consent to the Privacy Policy.

We may update these Terms to reflect changes in our Services, regulatory requirements, or other factors. We will notify users of material changes via the Platform or other reasonable means, but you should check the Terms regularly.

The "Last Updated" date above indicates the effective date of the current Terms. Continued use of the Services after updates constitutes acceptance of the new Terms. If you do not agree, you must stop using the Services.

To access certain Services (e.g., document management, LifeSpot Pulse, LIV chatbot, or inviting members), you must create an account with accurate, up-to-date information. You are responsible for:

• Keeping your account details and password confidential.
• Promptly updating your information.
• Notifying us immediately at support@lifespot.ai if you suspect unauthorized access.

You are solely responsible for all activity under your account, including actions by invited members you authorize. We may disable your account if you violate these Terms, engage in activities that harm the Services, or infringe on third-party rights or applicable laws.

Your access to and use of the Services are subject to these Terms, our Community Guidelines, and all applicable laws. You may not:

• Use the Services if you are not legally competent to agree to these Terms or lack parental consent (if under 18).
• Copy, modify, reverse engineer, or create derivative works of the Services or their content without permission.
• Distribute, license, or sell the Services or their content.
• Use the Services for commercial purposes, advertising, or spamming without our consent.
• Interfere with the Services' operation, bypass access restrictions, or use automated scripts to collect data.

Managing and Sharing Documents and Photos

The Services allow you to upload, store, and manage sensitive estate planning documents and photos ("Estate Content"). You are responsible for:

• Ensuring you have the legal right to upload and share Estate Content.
• Using the Platform's privacy settings to control who can access your Estate Content.
• Not uploading Estate Content that violates third-party rights or applicable laws.

Security

We implement industry-standard security measures, including encryption and access controls, to protect your Estate Content and account. However:

• You are responsible for maintaining the confidentiality of your account credentials.
• We cannot guarantee absolute security due to potential cyber threats.
• You must notify us immediately of any security breaches.

We respect intellectual property rights and require you to do the same. All content, software, text, images, logos, trademarks, and other materials on the Services are owned or licensed by LifeSpot.AI, except for User Content.

By submitting User Content, you:

• Warrant that you own or have necessary permissions for the content.
• Grant us an irrevocable, non-exclusive, royalty-free, worldwide license to use your content.
• Agree that User Content is non-confidential and non-proprietary, except where protected by Platform privacy settings.

You agree to indemnify and hold harmless LifeSpot.AI, Xpirix Inc., its affiliates, and their officers, directors, employees, and agents from any claims, liabilities, costs, or expenses arising from:

• Your breach of these Terms
• Your use or sharing of Estate Content
• Disputes with Invited Members or third parties
• Failure to secure your account

These Terms and any disputes are governed by Nevada law. Disputes must be resolved exclusively in the U.S. District Court for the District of Nevada or the Clark County Superior Court.

Any claim arising from these Terms must be initiated within one year of the event giving rise to it, or it is permanently barred.

When accessing the Platform via app stores, additional terms may apply from Apple, Google Play, Amazon Appstore, or Microsoft Store. Each store's specific terms are incorporated by reference.
